Hain Celestial to sell North American snacks unit for $115M to Snackruptors Inc.

Hoboken-based Hain Celestial Group on Monday announced a definitive agreement to divest its North American Snacks business to Snackruptors Inc., a Canadian, family-owned manufacturer, for $115 million in cash.

The sale includes popular brands such as Garden Veggie Snacks™, Terra® chips, and Garden of Eatin’®, marking a major turning point in the company’s “Hain Reimagined” strategic transformation.

The decision follows a review aimed at focusing the company on higher-margin categories. While the snacks portfolio accounted for 22% of Hain’s total net sales in fiscal 2025 (and 38% of North American sales), it contributed negligible EBITDA over the last year.

By offloading the snacks unit, Hain Celestial intends to concentrate on its core North American “flagship” categories:

  • Tea: (Celestial Seasonings®)

  • Yogurt: (The Greek Gods®)

  • Baby & Kids: (Earth’s Best® Organic)

  • Meal Preparation: (Spectrum® Organic culinary oils)

Proceeds from the $115 million sale will be used primarily to pay down debt. This move is designed to improve the company’s leverage profile and provide the financial flexibility needed for future investments.

“The sale of our snacks business is a decisive first step we are taking to sharpen our focus on categories and platforms in key markets where we can leverage our strongest organizational capabilities,” Alison Lewis, president and CEO of Hain Celestial said.

The buyer, Ontario-based Snackruptors Inc., is a specialty manufacturer known for private-label cracker production and a “people-first” culture.

“We believe these brands have significant growth potential and represent a strong, complementary fit with our existing business,” Rick Taborda, president of Snackruptors said. The company also confirmed it would welcome the Hain Celestial team members who currently support these brands.

The transaction is expected to close by Feb. 28.
