Trenton-based TerraCycle has had its Regulation A crowdfunding offering statement for a $75 million offering approved by the U.S. Securities and Exchange Commission (SEC).
This offering follows the company’s recently completed Regulation CF crowdfunding raise, which reached the $5 million cap in less than 60 days and was recognized by independent industry analysis as one of the top Regulation CF raises of 2025.
This news lays the foundation for TerraCycle’s profitable growth, TerraCycle Founder and CEO Tom Szaky said in a release, and enables it to develop scalable recycling solutions that advance its mission to eliminate waste. Proceeds from the offering will be used to pursue additional strategic acquisitions, the company said.
In its first Regulation A raise, launched in 2018, the company raised just over $19 million from approximately 6,300 investors, who have received 17% to 20% of their total invested capital through annual dividends.
TerraCycle has been a money maker, consistently profitable, and has grown revenue by 75% over the last four years, from $24.7 million in 2020 to $43.1 million in 2024, while generating $19.3 million in gross profit in 2024.
Since 2018, the company has completed three strategic acquisitions that expanded its operational capabilities and strengthened its market position.
Its recycling solutions address materials not typically accepted through curbside recycling services, covering hundreds of waste streams, from snack wrappers and coffee pods to cosmetics, pet food bags, and car seats.
The TerraCycle network has collected and recycled more than 8 billion items otherwise destined for landfill or incineration, raised $20 million for schools, nonprofits, and charities worldwide, and won 200 industry awards, including TIME Magazine’s 100 Most Influential Companies, Fast Company’s Most Innovative Companies, and the Inc. 500 and 5000 list.
