Zoetis Inc. has signed an agreement to acquire VitalRADS, a veterinary teleradiology and imaging services platform, in a move to bolster its global diagnostics portfolio and build out an end-to-end Virtual Reference Lab.
The acquisition builds upon an existing partnership established between the two companies in August 2025. By integrating VitalRADS, Zoetis will add round-the-clock access to board-certified veterinary specialists via a cloud-based teleradiology platform, alongside AI-assisted report generation and quality assurance tools.
VitalRADS offers a suite of services including mobile ultrasound in the Greater Houston and Greater Seattle regions, an outpatient imaging center in Cypress, Texas, and VitalPACS, a secure cloud-based Picture Archiving and Communication System (PACS). The platform serves more than 1,800 active veterinary customers, including independent practices, corporate clinics, and universities.
“Through 24/7 access to world-class veterinary radiologists, cardiologists, neurologists, and dentists, VitalRADS helps veterinarians identify conditions faster, inform clinical decision-making, and guide treatment plans,” Jamie Brannan, executive vice president and chief commercial officer at Zoetis said. Brannan noted that the acquisition allows Zoetis to expand its diagnostics ecosystem beyond in-vitro testing.
The integration of VitalRADS is designed to complement Zoetis’ existing AI-driven diagnostic platforms, such as Vetscan Imagyst® and Vetscan Opticell™. VitalRADS brings proprietary specialist-led, AI-assisted workflows that can auto-generate draft radiology reports from dictated findings and flag discrepancies between model interpretations and radiologist findings.
Dr. Brian Poteet, Founder and CEO of VitalRADS, called the acquisition “an important milestone” that will allow the company to continue advancing diagnostic solutions and patient care under the Zoetis umbrella.
The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions and regulatory approvals. Financial terms of the deal were not disclosed.
Guggenheim Securities served as financial adviser to VitalRADS, with Ropes & Gray LLP acting as its legal counsel. Fenwick & West LLP served as legal counsel to Zoetis.
