Cross River forms global alliance and planned Japan joint venture with SBI Holdings

CRB Group, Inc., the Fort Lee-based parent company of fintech pioneer Cross River Bank, entered into a Memorandum of Understanding with Japanese internet financial giant SBI Holdings, Inc. to establish a strategic business alliance and a joint venture in Japan.

The deal connects one of Garden State’s most prominent fintech infrastructure providers with a global powerhouse in Asian financial markets, opening up cross-border payment, digital asset, and AI-driven commercial opportunities across Japan and the broader Asia-Pacific (APAC) region.

Cross River has established itself as a leading FDIC-insured financial technology infrastructure platform. Known for powering embedded banking, lending, cards, and payment solutions for major global tech brands, Cross River serves as a critical bridge between modern fintech innovation and regulated banking infrastructure.

Under the new agreement, SBI Holdings will make a direct strategic investment in CRB Group. Subject to final definitive agreements and regulatory approvals in both the United States and Japan, the two organizations plan to launch a joint venture based in Japan designed to deliver co-developed financial services to Asian markets.

Key focus areas for the proposed joint venture and ongoing business alliance include:

  • Real-World Asset (RWA) Tokenization: Development, structuring, and distribution of tokenized financial products backed by real-world assets, such as loan receivables.
  • Cross-Border Payments: Enhanced international money movement leveraging the combined banking, settlement, and payment infrastructures of both companies.
  • Agentic Commerce Solutions: Next-generation payment infrastructure built specifically to support automated, AI-driven financial transactions (“agentic commerce”).
  • Stablecoin Integration: Integrating SBI Shinsei Trust & Banking’s trust-type yen-denominated stablecoin (“JPYSC”) onto Cross River’s technology platform for cross-border and institutional settlement.
  • Private Credit & Asset Management: Exploring potential cornerstone investment participation by SBI Holdings in a new Cross River-affiliated asset management vehicle focused on private credit and structured financial products.

The alliance underscores the expanding international footprint of New Jersey’s fintech and banking corridor. Cross River—founded in 2008 by Chairman and CEO Gilles Gade—has consistently spearheaded financial integration, recently enabling novel peer-to-peer payment experiences on major U.S. social media platforms alongside agentic transaction rails.

“Through this collaboration, the companies will advance the development of next-generation financial infrastructure with global reach and accelerate the adoption of digital financial services in Japan and the broader APAC region,” SBI Holdings said in an official statement.

The partnership also enables SBI Group to leverage Cross River’s proprietary real-time digital banking core to distribute on-chain financial products and fintech solutions throughout its global network, further positioning New Jersey-developed technology at the center of international banking innovation.
