The sessions will provide a practical roadmap to the enhanced federal and state tax benefits now available under recent statutory changes, including the landmark federal One Big Beautiful Bill Act (OBBBA).
Unlocking expanded tax benefits under the OBBBA
Passed into law to reshape the emerging business ecosystem, the OBBBA has significantly expanded the financial upside of holding QSBS. Historically considered an all-or-nothing tax exemption requiring a rigid five-year holding period, the OBBBA relaxes these parameters by introducing a flexible, tiered-gain exclusion system.
The firm’s attorneys and panelists will highlight how these sweeping legislative shifts create actionable strategies to reduce tax liability, optimize business exit planning, and facilitate multi-generational wealth transfers. Key updates discussed will include:
- Tiered-Gain Exclusions: Investors and founders can now tap into early liquidity, capturing a 50% capital gains exclusion after just three years and a 75% exclusion after four years of holding qualifying stock.
- Increased Gain Caps: The maximum per-issuer gain exclusion base has risen from $10 million to $15 million, allowing high-value corporate exits to shelter far more profit.
- Expanded Company Eligibility: The threshold for a company to qualify as a small business has expanded, allowing businesses with up to $75 million in aggregate gross assets—up from the previous $50 million limit—to issue tax-advantaged QSBS to early stakeholders.
Additionally, the seminars will focus heavily on New Jersey’s state-level legal updates and how they conform to the new federal exemptions, offering a double-layered tax break that state business owners cannot afford to miss.
