Continuing its strategic shift to streamline operations and narrow its global footprint, Newark-headquartered Prudential Financial, Inc. has entered into definitive agreements to sell Prudential of Brazil and Prudential of Mexico to France’s CNP Assurances Group for an aggregate all-cash purchase price of $4.025 billion.
The major multi-billion-dollar divestiture marks a significant milestone in Prudential’s ongoing plan to exit emerging markets and reallocate capital toward core domestic and international growth areas.
“We’re continuing to build momentum and advance our strategy to direct capital to the businesses and markets where we see the greatest opportunity for long-term growth and value creation,” Andy Sullivan, chairman and chief executive officer of Prudential Financial, Inc., said. “This transaction positions Prudential of Brazil and Prudential of Mexico for continued success with an owner committed to its customers, employees and distribution partners. We remain focused on narrowing our geographic footprint and building a simpler, more focused Prudential.”
The agreement follows a string of recent portfolio trims, including the sale of the company’s stakes in joint ventures like PT PFI Mega Life Insurance in Indonesia, Alexforbes in South Africa, and ICEA LION in Kenya, which closed on Oct. 13.
For the purchasing buyer, CNP Assurances, the acquisition represents a major expansion in Latin America, reinforcing its existing Brazilian presence while introducing its first operations in Mexico.
“We are delighted to announce this transaction, which represents a major step forward in our development in Latin America,” Marie-Aude Thépaut, CEO of CNP Assurances, said. “We have been particularly impressed by the capabilities of these businesses, including the expertise of the Life Planner network and the trusted customer relationships built over many years.”
Pending customary closing conditions and regulatory approvals, the transaction is expected to close in the second half of 2027.
Prudential plans to deploy the $4.025 billion in cash proceeds to support its core capital allocation priorities and invest heavily in high-priority growth opportunities across retirement services, asset management, and select protection businesses in the U.S., Japan, and key European markets.
Morgan Stanley served as financial advisor, alongside legal counsel from Willkie Farr & Gallagher, Mattos Filho (Brazil), and Perez Llorca (Mexico), advising Prudential on the transaction.
