Parsippany-based B&G Foods just hit a regulatory roadblock.
Canada’s Competition Bureau has officially asked the Competition Tribunal to step in and block B&G Foods’ pending sale of its Green Giant and Le Sieur frozen and shelf-stable vegetable business in Canada to Nortera. The Canadian regulators are worried the deal would combine two massive players—since Nortera already handles major brands like Arctic Gardens and Del Monte—potentially leading to less competition, fewer choices, and higher grocery prices for shoppers.
Naturally, B&G Foods is not happy. In an official response, the company didn’t hold back, saying:
“We are disappointed and disagree with the decision of the Competition Bureau (Canada) to ask the Competition Tribunal to block B&G Foods Canada’s proposed sale… We believe the available evidence supports that this transaction is in the best interests of all interested stakeholders, including the Canadian consumer.”
Even though the regulatory wrench has thrown some uncertainty into the mix, B&G isn’t throwing in the towel. The company shared that it is still in talks with Nortera and is actively weighing all options—including potential legal, regulatory, and operational workarounds.
The main goal B&G said is that it protects the interests of its employees, shareholders, and customers while staying fully compliant with the law.
