OceanFirst Financial Corp. and Flushing Financial Corporation announced Monday that they have cleared the final regulatory hurdle required to complete their high-profile merger.
On April 24 the Board of Governors of the Federal Reserve System issued its formal approval for Flushing to merge into OceanFirst. This follows a string of recent approvals from the New York State Department of Financial Services (March 23) and the Office of the Comptroller of the Currency (April 6).
With all necessary regulatory and shareholder approvals now in hand, the companies expect to finalize the transaction no later than June 1.
The merger unites two of the region’s most established financial institutions, creating a dominant banking presence spanning from Massachusetts to Virginia, with a deep concentration in the New Jersey and New York City metropolitan areas.
- OceanFirst Bank N.A., a $14.6 billion institution founded in 1902, is currently one of New Jersey’s largest and oldest community-based banks.
- Flushing Bank, established in 1929, brings a robust commercial banking network in Queens, Brooklyn, Manhattan, and Long Island, along with a significant nationwide digital presence through its iGObanking and BankPurely brands.
The combined entity will leverage OceanFirst’s expansive regional footprint and Flushing’s specialized multicultural market expertise and real estate lending strength.
In a concurrent announcement, OceanFirst has scheduled its 2026 Annual Meeting of Stockholders for Wednesday, May 27, at 8:00 a.m. ET.
In keeping with modern corporate practices, the meeting will be held in a virtual-only format. Stockholders of record as of April 2, are eligible to vote and participate.
The completion of this merger marks a significant consolidation in the Mid-Atlantic banking sector. By integrating Flushing’s $8 billion-plus in assets with OceanFirst’s existing portfolio, the combined company will be positioned as a top-tier regional player capable of competing with national banks while maintaining the “community-first” personalized service that both brands have cultivated for nearly a century.
