Virtua Health and ChristianaCare call off proposed merger

In a reversal of plans to create a regional health care powerhouse, ChristianaCare and Virtua Health announced on Thursday that they have mutually agreed to terminate the Letter of Intent (LOI) signed in July 2025.

The decision marks the end of a high-profile pursuit to “co-found” a nonprofit health system that would have spanned 10 counties across Delaware, New Jersey, Pennsylvania and Maryland.

Following a five-month period of “thoughtful evaluation” and due diligence, the two organizations concluded that their respective missions are best served by remaining separate, independent entities.

“After thoughtful evaluation, both organizations have determined that they can best fulfill their missions to serve their communities by continuing to operate independently,” the systems said in a joint statement.

The move comes as a surprise to many in the industry, as the initial July announcement was framed as a “bold step” to address the financial pressures of Medicare/Medicaid cuts and the rising cost of care through regional scale.
